JOB DETAIL

Juridical (litigation) + corporate in cooperation with group legal
1. Preparation and follow up litigation
2. Determination of a juridical strategy together with local management
3. Submission of recommendations to local management to prevent juridical litigations
4. Corporate housekeeping: corporate governance (BoD, AoA, ASM) + forwarding all documents to group legal
5. Corporate structure: advice and support of local management with establishments of local juridical entities, M&A (DD, SPA, shareholders agreements, APA,etc), JV agreements, LOI/MOU/consortium agreements

Contract management
1. Review standard terms and conditions/templates/guidelines for contracting in accordance with local legislation
2. Assistance and advice on contracts (sales, purchasing, cooperation, NDA, consultancy, representation, renting a property, guarantees, etc)
3. Negotiation with customers, suppliers, etc.
Insurance management
1. Follow up of the local insurance covers and local claims management

REQUIRED WORK EXPERIENCE

- Thai nationality, Male and Female, age 30-45 years old
- Bachelor's degree in laws, with preference for specialization in corporate/business law, USA law knowledge /experience is a must, with preference for a USA law degree.
- At least 8-12 years' experience as an inhouse legal counsel/company lawyer in the construction industry.
- Has licensed in Texas and/or any other USA State
- Good command in English (verbal, report, email) and If able to speak Spanish and Portuguese would be a plus
