JOB DETAIL

1. Prepare and maintain records such as the directors’ register, board meeting invitations, board meeting minutes, the company’s annual report, shareholders’ meeting invitations, and shareholders’ meeting minutes, as well as maintain records of conflicts of interest reported by directors or executives.
2. Perform duties as required by the Capital Market Supervisory Board, including submitting copies of conflict-of-interest reports under Section 89/14 of the Securities and Exchange Act B.E. 2535 (as amended), prepared by directors and executives, to the Chairman of the Board and the Chairman of the Audit Committee within seven business days from the date the company receives the report.
3. Provide initial advice to directors on legal matters, company rules, and regulations they need to know and ensure consistent compliance, including reporting significant changes in legal requirements to the Board of Directors.
4. Organize shareholders’ meetings, Board of Directors meetings, and other committee meetings in compliance with laws, company regulations, and the charters of the committees.
5. Record minutes of shareholders’ and Board of Directors’ meetings and monitor the implementation of resolutions passed in such meetings.
6. Act as the primary contact person responsible for disclosing information and submitting accurate and complete reports in compliance with laws to the Stock Exchange of Thailand (SET) and the Securities and Exchange Commission (SEC).
7. Perform other duties as required by the Capital Market Supervisory Board.
8. Prepare and maintain records of the company’s Board of Directors meetings.
9. Undertake other tasks as assigned.

REQUIRED WORK EXPERIENCE

Qualifications:
1. Female, aged 30-45 years.
2. Bachelor’s degree in Management, Business Administration, or a related field.
3. At least 5 years of experience as a secretary to senior executives.
4. Proficient in corporate secretarial work for publicly listed companies.
5. Knowledge and understanding of laws and regulations of the SEC and SET, with the ability to maintain the company’s confidentiality.
6. Strong skills in listening, identifying key points, and retaining details.
7. Excellent communication, interpersonal, coordination, and management skills.
8. Positive attitude with a constructive and proactive work perspective.
9. Creative thinking and a willingness to learn new things independently.
10. Ability to handle pressure and solve problems effectively.
11. Willing to work Monday to Saturday (alternate Saturdays).
