JOB DETAIL
• Management and Strategic Support
o Lead counsel for legal and compliance, trusted advisor, and strategic business partner to RHO-T.
o Providing sound and strategic legal advice to senior management and management teams, including legal implications and legal aspects of business practices, corporate strategies, and legal trends (eg. formulating, suggesting, and executing short-term and long-term improvements in legal processes).
o Involve in management meetings, socializing key legal matters and upcoming initiatives with members of senior management, and also providing legal advice on all other key initiatives.
o Establish strong business relationships, trust, and rapport with the management of RHO-T, as well as diverse corporate and business stakeholders in the broader organization, and be able to navigate through and manage uncertainty and different levels of complex stakeholder relationships.
o Provide ad-hoc risk management support for RHO-T, as may be necessary from time to time, including identification of and mitigation of risks. Also includes management of all potential and/or actual legal disputes, including budget, strategy, and management of external counsel.
o Provide ad-hoc review or input in company secretarial matters, where appropriate, and corporate governance-related areas.
• Legal Support
o Providing proactive legal services to the business teams in RHO-T (including senior management) with a primary focus on the delivery of commercial/corporate support, which will include general contract review, drafting, and negotiation of a broad range of contracts.
o Providing ongoing strategic legal advice and support to RHO-T (including senior management) on a wide variety of legal and compliance issues that may arise in the usual course of business, including but not limited to commercial disputes & dispute resolution, HR & employment, debt collection, finance & tax, logistics, supply chain, intellectual property, data privacy and data protection, cybersecurity, corporate governance, M&A and strategic transactions etc.
o Reviewing marketing and promotional material prior to its launch, including new product launch (catalogs, brochures, posters, videos, etc.), social media posts etc., and various external facing documents (e.g. training material for external parties, terms, and conditions for contests/promotions, letters to third parties with legal implications)
o Drafting or reviewing existing company policies, internal procedures, and/or other policy-related documents. This includes policies relating to other departments and also legal and compliance-related policies and guidelines.
o Developing and/or improving existing contract review processes to work toward greater automation and higher efficiency, including the promotion of legal technology tools and continued improvement efforts towards the contract management system adopted by the group companies. This includes the adoption and rollout of e-signature tools and translation tools for documents in foreign languages, including coordination and liaison with external
vendors as necessary and conducting training for teammates.
o Providing regular updates on relevant legal developments and conducting legal training for relevant teammates and stakeholders (eg. finance and tax clauses, personal data protection law, employment act, legal process changes, etc).
o Interacting with key business stakeholders on any legal matters
o Liaising with internal parties, including key business stakeholders, teammates in other groups of companies and external parties in multiple jurisdictions, including but not limited to external
counsel, government offices, translation firms, third-party vendors etc., on legal and related administrative matters
• General Support
o Providing general support for all aspects of legal and compliance work and other matters or projects with which the Head of Legal & Compliance SEA Cluster or the legal team may require assistance from time to time.

REQUIRED WORK EXPERIENCE
• Bachelor’s Degree in Law, with a minimum of (10) years of relevant post-qualification experience, either with a reputable law firm or a suitable in-house position in a corporate law department of an MNC.
• Excellent academic record from a recognized law school.
• Substantial experience in structuring, negotiating documenting, and closing commercial contracts and transactions both externally and within group companies.
• Excellent communication, drafting, and negotiating skills; superior analytical ability and a strong general commercial background, creativity, vision, and sound judgment in developing and implementing
legal solutions and responding to trends in the law.
• Excellent interpersonal skills and ability to communicate effectively with various stakeholders is a must. Experience working with persons from varied cultural backgrounds is advantageous.
• Ability to work both independently and in a team is a must.
• Ability to handle multiple priorities and assignments in a time-pressure environment is a must.
• Ability to develop process-driven solutions to reoccurring issues is advantageous.
• Excellent written and spoken English language skills. Proficiency in Mandarin, Japanese, and/or any Southeast Asian language would be advantageous but not essential.
