1. General Responsibilities
• Collaborate with internal stakeholders by communicating with Associates in Thailand and reporting to the management team abroad; foster relationships with external advisors and stakeholders.
• Coach and support the development/training of the junior members within the team.

2. Legal Professional Consultancy Work
• Provide expert legal advice and support on all aspects of mergers and acquisitions (M&A), including due diligence, negotiation, drafting of transaction documents, regulatory compliance, and post-merger integration.
• Provide other expert legal advice and consultancy services to clients, encompassing a wide range of legal matters including corporate, commercial, labor, intellectual property, competition, and compliance laws through collaboration with the other legal experts in M&P.
• Conduct thorough legal research, draft legal documents, review contracts, and advise on legal implications to ensure compliance and mitigate risks.

3. Professional Business Development
• Cultivate and maintain strong relationships with existing and potential clients, as well as external legal advisors and the legal community.
• Collaborate with internal teams to develop innovative legal solutions and tailor services to meet client needs.
• Proactively identify potential M&A opportunities, including seller/buyer sourcing, through various channels, including market research, industry events, and networking through collaboration with the other experts in M&P Asia.

4. In-House Lawyer
• Oversee all legal matters for the Thailand office, ensuring compliance with relevant corporate and regulatory laws.
• Identify and mitigate legal risks and liaise with government authorities as needed.
• Manage corporate documentation, including maintenance of corporate records, licenses, and compliance requirements.
• Support in legal and operational issues related to internal and external stakeholders on daily business operations and strategic initiatives.

REQUIRED WORK EXPERIENCE

• LL.B. degree or higher with outstanding academic credentials and Thai lawyer’s license
• Native fluency in Thai and excellent English communication skills, especially in writing and drafting abilities. Proficiency in other languages is an asset.
• 5 to 7 years of M&A experience in legal practice within reputable law firms and/or multinational companies.
• Proficiency in conducting legal research, drafting, negotiation, and problem-solving.
• Good command of computer literacy, especially in Microsoft Office, especially in Word, PowerPoint, and Outlook.
• Ability to cover a wide range of legal matters.
• Ability to multi-task; strong analytical and problem-solving skills; strong leadership skills.
• Demonstrated understanding of business and industry dynamics.
• Cultural sensitivity and ability to navigate cross-cultural interactions.
• Integrity and discretion in handling confidential information.
